1. Acceptance of Terms

These Terms of Use (“Terms”) are a legally binding contract between you (“you,” “your,” or “User”) and Redoya LLC (“Redoya,” “we,” “us,” or “our”). By accessing or using any website, landing page, web application, or online service that links to these Terms (collectively, the “Site”), you acknowledge that you have read, understood, and agree to be bound by them. If you do not agree, do not access or use the Site.

2. Who We Are

Redoya LLC is a Delaware limited-liability company that provides bespoke software-development and related digital services to global clients.

3. Modifications

We may revise these Terms at any time. The “Last updated” date will change accordingly. Continued use of the Site after changes become effective constitutes acceptance of the revised Terms. If a change materially affects your rights, we will provide reasonable advance notice (e.g., banner or email).

4. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into contracts to use the Site. By using the Site, you represent and warrant that you meet these requirements.

5. License & Site Access

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for informational and non-commercial purposes only, subject to these Terms. All rights not expressly granted are reserved by Redoya.

6. User Responsibilities

You agree to:

  • use the Site only for lawful purposes;

  • provide accurate information when prompted;

  • keep any account credentials confidential and promptly notify us of unauthorised use;

  • comply with all applicable laws, rules, and regulations.

7. Prohibited Conduct

You may not:

  1. Use the Site in any manner that could disable, overburden, or impair its functioning.

  2. Attempt to gain unauthorised access to servers, networks, or data.

  3. Reverse-engineer, decompile, or disassemble any part of the Site.

  4. Introduce viruses, trojans, bots, or other malicious code.

  5. Use automated means (scripts, spiders, scrapers) to access the Site without our prior written consent.

  6. Impersonate any person or misrepresent your affiliation with Redoya.

  7. Infringe any intellectual-property or privacy rights.

8. Content & Intellectual Property

  • Our Content. The Site— including text, graphics, logos, software, and design—is owned by or licensed to Redoya and protected by US and international IP laws.

  • User Content. If you submit or upload any materials (“User Content”) you grant Redoya a non-exclusive, worldwide, royalty-free licence to host, reproduce, and display that content solely for operating the Site. You are responsible for ensuring you have all rights needed for such licence.

  • Feedback. Any feedback or suggestions you send may be used by Redoya without restriction or compensation to you.

9. Third-Party Links & Services

The Site may contain links to third-party websites or integrate third-party tools. Redoya does not control and is not responsible for third-party content, policies, or practices. Accessing third-party sites is at your own risk.

10. Privacy

Our collection and use of personal data are described in our Privacy Policy. By using the Site, you consent to such processing.

11. No Professional Advice

Content on the Site is provided for general informational purposes only and does not constitute legal, financial, or other professional advice. You should consult qualified professionals for advice tailored to your situation.

12. Disclaimer of Warranties

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, REDOYA DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, REDOYA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SITE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS RELATING TO THE SITE WILL NOT EXCEED USD 100.

Some jurisdictions do not allow certain limitations; in such cases, liability is limited to the greatest extent permitted by law.

14. Indemnification

You agree to indemnify and hold harmless Redoya, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site; (b) your breach of these Terms; or (c) any User Content you provide.

15. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to Redoya or other users. Sections 8–17 survive termination.

16. Export Controls & Sanctions

You may not use or access the Site if you are located in, or are a national of, a country subject to comprehensive US embargo, or if you are on any US or EU government restricted-party list.

17. Governing Law & Dispute Resolution

  • Governing Law. These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles.

  • Informal Resolution. Before filing a claim, you agree to try to resolve the dispute informally by emailing contact@redoya.com.

  • Arbitration. If unresolved within 30 days, disputes shall be finally settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The seat of arbitration is Wilmington, Delaware. Judgment on the award may be entered in any court with jurisdiction.

  • Opt-Out. You may opt out of arbitration within 30 days of first accepting these Terms by sending written notice to our registered office.

  • Equitable Relief. Nothing precludes either party from seeking injunctive or equitable relief in a court of competent jurisdiction.

18. Miscellaneous

  • Entire Agreement. These Terms constitute the entire agreement between you and Redoya concerning the Site and supersede any prior agreements.

  • Severability. If any provision is held invalid, the remaining provisions remain in full force.

  • Waiver. Failure to enforce any provision is not a waiver of future enforcement.

  • Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or successor in connection with a merger, acquisition, or sale of assets.
